Terms of Use
Last updated: 7 July 2026
These Terms of Use ("Terms") are a legal agreement between you and Kichu Inc. ("Kichu", "we", "us") governing your access to and use of the kichu platform — our website, merchant dashboard, hosted storefronts, messaging inbox, APIs, SDKs, and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Who may use the Services
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of a business, you represent that you are authorised to bind that business to these Terms, and "you" refers to that business.
Your account
You are responsible for the activity under your account and for keeping your sign-in credentials secure. Sign-in uses a one-time code sent to your verified email; keep your email account secure and notify us promptly of any unauthorised use at privacy@kichu.dev. Access may be invite-gated during early access.
Merchant responsibilities
When you run a shop on kichu, you are responsible for:
- the products, prices, content, and communications you publish and send;
- fulfilling orders, honouring your own refund and return terms, and resolving customer disputes;
- complying with all laws that apply to your business — including consumer-protection, tax, advertising, and data-protection law;
- having a lawful basis and any required consent to process your customers' personal data, for which you are the data controller (see the Privacy Policy); and
- obtaining and maintaining any third-party accounts your shop relies on (for example a payment processor or a Meta business account).
Payments
Payments to your shop are processed by third-party payment providers (such as bKash, Nagad, Cash-on-Delivery flows, and card processors). Where the bring-your-own-processor model applies, funds move from the shopper to your own processor account and then to your bank; Kichu does not hold your funds and does not act as a bank, money transmitter, or escrow agent. Your use of a payment provider is subject to that provider's own terms. Fees for your kichu subscription, if any, are described at sign-up or in your dashboard and are due as stated there.
AI features
The Services include AI features that generate drafts — such as suggested replies or a generated storefront design — using third-party model providers. AI output can be inaccurate; you are responsible for reviewing it before it is sent or published. AI output is provided "as is" and is not professional advice.
Acceptable use
You agree not to:
- use the Services for anything unlawful, deceptive, or harmful, or to sell prohibited or illegal goods;
- send spam or messages without the recipient's required consent, or violate the policies of connected messaging and advertising platforms;
- infringe anyone's intellectual-property or privacy rights;
- attempt to breach, probe, or disrupt the security or integrity of the Services, or access data you are not authorised to access;
- reverse-engineer the Services except to the extent that restriction is prohibited by law; or
- use the Services to build a competing product, or resell them, without our written permission.
We may suspend or terminate access that violates these Terms or that poses a risk to the Services, our merchants, or their customers.
Intellectual property
The Services, including our software, design, and trademarks, belong to Kichu and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. You retain ownership of your content — your products, media, and customer data. You grant us the licence needed to host, process, and display that content to operate the Services on your behalf.
Third-party services
The Services integrate with third parties (payment processors, Meta messaging and advertising, couriers, AI providers, and infrastructure vendors). We are not responsible for third-party services, and your use of them is subject to their terms.
Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, Kichu will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 100.
Indemnity
You will indemnify and hold harmless Kichu from claims and liabilities arising out of your content, your use of the Services, your products and business, or your breach of these Terms or of applicable law.
Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or where required to protect the Services or other users. On termination you may export your data as described in theData Policy; provisions that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnity) will survive.
Governing law & disputes
These Terms are governed by the laws of the State of New York and the United States, without regard to conflict-of-laws rules. The courts located in New York, USA will have exclusive jurisdiction over disputes, except where applicable law in your country of residence (including the EU/EEA or Bangladesh) gives you the right to bring proceedings in your local courts, in which case nothing here removes that right.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance.
